1. Acceptance of Terms
By accessing or using FreightForge's freight management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
FreightForge provides a cloud-based Transportation Management System (TMS) designed for freight brokerages and dispatchers. Our Service includes:
- Load management and dispatch dashboard
- Driver communication tools including SMS updates
- Document management and storage
- Invoice generation and billing features
- Reporting and analytics
- Customer and carrier management
3. Account Registration
To use FreightForge, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4. Subscription and Billing
Subscription Plans: FreightForge offers various subscription plans (Starter, Professional, Enterprise) with different features and pricing. Plan details are available on our pricing page.
Free Trial: New accounts may receive a 14-day free trial. No credit card is required during the trial period.
Billing: Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms.
Price Changes: We may modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations
- Attempt to gain unauthorized access to any systems or networks
- Interfere with or disrupt the Service or servers
- Upload malicious code, viruses, or harmful content
- Reverse engineer, decompile, or disassemble the Service
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to send spam or unsolicited communications
- Impersonate any person or entity
6. Your Data
Ownership: You retain all rights to the data you upload to FreightForge ("Your Data"). We do not claim ownership of Your Data.
License: You grant us a limited license to use, store, and process Your Data solely to provide the Service.
Responsibility: You are responsible for the accuracy and legality of Your Data. You must have all necessary rights and consents to upload and use Your Data.
Export: You may export Your Data at any time through the platform's export features.
7. Intellectual Property
The Service, including all software, designs, text, graphics, and other content, is owned by FreightForge and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written consent.
The FreightForge name, logo, and related marks are our trademarks. You may not use them without our permission.
8. Third-Party Services
The Service may integrate with third-party services (payment processors, SMS providers, etc.). Your use of these services is subject to their respective terms. We are not responsible for third-party services.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.
We are not liable for any losses resulting from Service unavailability.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
11. Indemnification
You agree to indemnify and hold harmless FreightForge, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Data or content you submit
12. Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you violate these Terms or for other legitimate business reasons with reasonable notice.
Upon termination, your right to use the Service ceases. You may export Your Data within 30 days of termination.
13. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state of Delaware.
You agree to waive any right to participate in class actions.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
15. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and FreightForge.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver.
- Assignment: You may not assign these Terms without our consent.
